By purchasing a service from SEO Gladiators S.r.l. ("SEO Gladiators", "we", "us"), you ("the Client") agree to these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and SEO Gladiators S.r.l., governed by Italian law. If you are purchasing on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
These Terms apply to all services offered by SEO Gladiators, including monthly retainer plans (Legionary, Centurion, General), one-time services (Arena SEO audit, Territory Map, Intelligence Recon), add-on services, and hourly support engagements.
All services provided by SEO Gladiators are delivered entirely digitally. No in-person visits, physical deliverables, or hardware are included in any engagement. Services include digital marketing strategy, technical SEO, editorial link acquisition, content production and optimisation, Google Ads and paid search management, local SEO and Google Business Profile management, and analytics and attribution consultancy.
The specific scope of services for each plan is described on the pricing page at seogladiators.com/pricing and in the Battle Plan document delivered at the start of each engagement. The Battle Plan, once approved in writing by the Client, forms part of the agreement and defines the agreed deliverables and targets for the initial 90-day period.
SEO Gladiators reserves the right to adjust service scope within the agreed plan to reflect best practice changes in search algorithms, advertising platforms, or analytics tools. Material changes to scope are communicated to the Client before implementation.
Monthly plans: Monthly retainer fees are charged at the start of each billing period. The first payment is processed at checkout. Subsequent payments are charged monthly on the same calendar date. If a payment fails, we will notify you and allow 7 calendar days to resolve the payment method before the account is placed on hold.
One-time services: One-time services (audits, setup, and single-project engagements) are charged 50% at the time of purchase and 50% upon delivery of the agreed output, unless otherwise agreed in writing before purchase.
Add-ons and support hours: Add-ons and hourly support are charged in full at the time of purchase.
Currency: All prices are in Euro (EUR) and are exclusive of Italian IVA (VAT). Italian businesses with a valid P.IVA and appropriate IVA status may be eligible to receive services without IVA applied to the invoice (reverse charge or IVA zero-rate), subject to correct documentation. Contact us before purchase to arrange this.
Payment processing: Payments are processed by Stripe Payments Europe Ltd. By purchasing, you agree to Stripe's terms and privacy policy. Card details are collected and stored by Stripe only and are never transmitted to or stored by SEO Gladiators.
Monthly plans have a minimum commitment of three (3) consecutive billing months. After the minimum period, either party may cancel by giving thirty (30) calendar days written notice by email to hello@seogladiators.com. Notice must be given at least 30 days before the next billing date to avoid that billing period being charged.
Early termination before the 3-month minimum is not available. If you cease making payment during the minimum period, SEO Gladiators reserves the right to pursue recovery of the remaining amounts owed for the minimum term.
Cancellation of a monthly plan does not affect any one-time service or add-on that has already been delivered and paid for.
The Client agrees to: provide accurate information at the time of purchase and throughout the engagement; grant reasonable read access to Google Search Console, Google Analytics 4, and Google Ads (where applicable) within five business days of the engagement start; review and approve the Battle Plan document within ten business days of its delivery; respond to requests for information, approval, or feedback within five business days; and not engage additional agencies or consultants working on the same services during an active engagement without prior written notification to SEO Gladiators.
SEO Gladiators is not responsible for delays in deliverables caused by the Client's failure to provide timely access, approvals, or responses.
SEO Gladiators sets written targets in the Battle Plan document and will use commercially reasonable efforts to achieve them. However, organic search rankings, paid advertising performance, and digital marketing outcomes are influenced by factors outside our control, including Google and other platform algorithm changes, competitor activity, website technical changes made by the Client, and macroeconomic factors affecting search demand.
We do not guarantee specific ranking positions, traffic volumes, or revenue outcomes. The results documented in case studies on our website represent historical client outcomes and are not guarantees of future performance. Any forward-looking statements are reasonable professional forecasts based on available data, not binding commitments.
If we fail to deliver agreed deliverables (for example, the agreed number of editorial links per month) due to circumstances within our control, we will apply a proportionate credit to the following billing period. See our Refund Policy for further details.
All content produced by SEO Gladiators for the Client — including written articles, copy, landing pages, and strategic documents — becomes the Client's property upon full payment for the relevant billing period or project. SEO Gladiators retains the right to reference the engagement (with client consent) for case studies or portfolio purposes.
The website seogladiators.com, its design, content, and code are the property of SEO Gladiators S.r.l. and may not be reproduced without written permission.
Both parties agree to keep confidential any commercially sensitive information shared during the engagement. This includes, but is not limited to, client domain data, paid advertising spend and performance data, campaign strategy, and any information marked as confidential. This obligation survives termination of the engagement for a period of three years.
To the maximum extent permitted by applicable Italian law, SEO Gladiators' total aggregate liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client to SEO Gladiators in the twelve months preceding the event giving rise to the claim. SEO Gladiators is not liable for indirect, consequential, or incidental losses, including loss of profit, loss of business, or loss of data, even if advised of the possibility of such losses.
Nothing in these Terms limits SEO Gladiators' liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Italian law.
The Client must not use our services in connection with illegal activities, spamming, distributing malware, infringing third-party intellectual property, or any activity that violates Google's Webmaster Guidelines, Google Ads policies, or applicable EU or Italian law. SEO Gladiators reserves the right to terminate an engagement immediately and without refund if the Client is found to be in violation of this clause.
These Terms are governed by Italian law. Any dispute arising from or in connection with these Terms that cannot be resolved through good-faith negotiation will be referred to the jurisdiction of the courts of Napoli, Italy, unless mandatory consumer protection law requires otherwise.
For business clients (B2B engagements), the parties agree to attempt mediation before initiating court proceedings, using a mutually agreed mediator in accordance with the Italian Civil Mediation Decree (D.Lgs. 28/2010).
SEO Gladiators may update these Terms from time to time. The effective date is shown at the top of this page. Active clients will be notified of material changes by email at least 30 days before the change takes effect. Continued use of services after the effective date constitutes acceptance.
